Tóm tắt — Doanh nghiệp gia đình (DNGĐ) đóng vai trò là động lực tăng trưởng cốt lõi tại các nền kinh tế đang phát triển và chuyển đổi. Sự đan xen chặt chẽ giữa ba hệ thống: Gia đình, Sở hữu và Kinh doanh thường xuyên kích hoạt các xung đột lợi ích sâu sắc, đe dọa sự phát triển bền vững của tổ chức. Nghiên cứu này thực hiện tổng quan tài liệu có hệ thống (SLR) trên các công trình tiêu biểu giai đoạn 2020–2025 nhằm xây dựng mô hình quản trị tích hợp từ Lý thuyết người đại diện (Agency Theory - AT) và Lý thuyết quản gia (Stewardship Theory - ST). Kết quả nghiên cứu hệ thống hóa bốn dạng xung đột lợi ích cốt lõi và đề xuất khung cấu hình gồm chín cơ chế quản trị lai (Hybrid Governance) để điều tiết các mâu thuẫn này. Đồng thời, nghiên cứu đề xuất các giải pháp quản trị mang tính bản địa hóa, giúp các doanh nghiệp gia đình Việt Nam hóa giải các xung đột nội tại trong điều kiện sở hữu tập trung cao độ và hệ thống thể chế kinh tế đang chuyển đổi.
